HASLEY HILLS HOMEOWNERS ASSOCIATION

BOARD OF DIRECTORS MEETING

April 7, 2005

Call to Order/Introduction of New Management Company

The President called the meeting to order at 7:10 PM.  The President introduced the new Management Company representative, Nancy O’Neil.

President’s Report/Old Business

The President updated the homeowners who were present on the pending lawsuit with the developers.  She stated that the parties had been to mediation in early April; a second mediation has been scheduled for April 15, 2005.  There is still some debate over the square footage for the fuel modification areas, but the Board and the Association’s legal counsel are hopeful that the matter can be resolved through mediation and that with the assistance of Penny Hansen and the attorneys involved with the case.

Approval of Minutes

Motion:           Bob Throckmorten               Second          Roger Ludwig

Waive the reading the Minutes of March 3, 2005 and approve these minutes as written.  Motion carried 4-0.

New Business

There was no new business.

Committee Reports

Finance – The Treasurer presented the financial report.  He advised the Board that the Association currently has $143,178 in the operating account and $490,098 in the reserve account.  The Association did incur approximately $37,000 in legal fees in February and it may be necessary to borrow from the Reserve Account to cover the cost of the litigation.  The Association did receive a check from KB Builders for the first quarter of this year. 

Architectural – With the management company change there has been some delay with the approval process.  Hopefully this will be resolved within the next month.

Homeowner Compliance  - The Committee members met with Crown Management on Wednesday evening.  The committee will develop a process for addressing violations and tracking the fine system.

Neighborhood Watch – A brief discussion took place regarding the Neighborhood Watch program.  The homeowners need to set up a meeting with the local law enforcement agency and through email; this program can be more efficient.

Open Forum

Annexation – The Committee chair for the city annexation spoke to the owners who were present.  The group has received a positive response from the homeowners. There will be an informational meeting shortly, the committee needs volunteers to assist in walking the neighborhood in an effort to successfully annex the Hasley Hills neighborhood into the City of Santa Clarita.

Annual Meeting – The Association’s Annual Meeting will be held in May.  The President and Director will not be running for re-election.  The candidates who were present were introduced to the homeowners.  They provided a brief summary about themselves.  The notice of meeting will be mailed within the next week. 

The President announced that the Board will meet in Executive Session at the conclusion of this meeting and prior to the next meeting to discuss, potential litigation, individual owner issues or any personnel issues that come before the Board.

There being no further business, the meeting adjourned to Executive Session at 8:00 PM
